These Terms of Use (“Terms”) govern the access and use of the mobile application, website, platform, and related services (“Platform”) operated by Surepath Systems India Private Limited (“Company”, “we”, “us”, or “our”). By accessing, browsing, registering on, or using the Platform, the user (“User”, “Customer”, or “you”) agrees to be legally bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Platform.
NATURE OF THE PLATFORM
The Platform is a technology-based online intermediary marketplace that enables Users to place orders for food, beverages, and related products offered by independent third-party restaurants, cloud kitchens, merchants, vendors, and delivery partners (“Merchants”). The Company does not own, manufacture, cook, prepare, process, package, store, sell, resell, supply, or deliver food products and is not a restaurant, food manufacturer, catering establishment, or food business operator unless specifically stated otherwise. The Company merely provides a digital technology platform facilitating communication and transactions between Users and Merchants. The Company acts solely as an intermediary and marketplace platform under applicable Indian laws.
MERCHANT RESPONSIBILITY
The User expressly acknowledges, understands, and agrees that the Merchants are independent third parties solely responsible for the preparation, quality, safety, hygiene, packaging, labeling, ingredients, nutritional disclosures, pricing, storage, and sale of food products offered through the Platform. The User further acknowledges that the Company does not own, control, supervise, manage, inspect, monitor, or operate any Merchant or its kitchen facilities and does not participate in the preparation, handling, cooking, packaging, or storage of food products. The User expressly represents and acknowledges that all statutory and regulatory obligations relating to food products, including obligations under the Food Safety and Standards Act, 2006 and all rules, regulations, guidelines, and licensing requirements issued by the Food Safety and Standards Authority of India (“FSSAI”), are the sole and exclusive responsibility of the respective Merchant and not the Company. The User further acknowledges and agrees that the Company does not make any representation, warranty, or guarantee regarding the validity of any FSSAI license, food safety compliance, hygiene standards, ingredient disclosures, nutritional information, allergen disclosures, packaging standards, or legal compliance of any Merchant. Any representation, statement, or information relating to food products displayed on the Platform is provided directly by the respective Merchant and the Company shall not be responsible for the accuracy, completeness, reliability, legality, or authenticity of such information. The User expressly agrees that the Company acts solely as an intermediary technology platform facilitating communication and transactions between Users and Merchants and that the Company shall not be held liable for any contamination, adulteration, food poisoning, allergic reaction, illness, injury, death, regulatory violation, or other loss, damage, or claim arising from or relating to any food product supplied by a Merchant.
USER ACKNOWLEDGEMENT
The User expressly acknowledges and agrees that food products may contain allergens, allergens, contaminants, bacteria, viruses, foreign particles, or ingredients not disclosed by the Merchant and that consumption of food products involves inherent health risks. The User further acknowledges that preparation conditions are solely controlled by Merchants, delivery timelines are estimates only, photographs and menu descriptions are illustrative in nature, availability of items may change without notice, and the Company cannot guarantee uninterrupted, error-free, or secure operation of the Platform. The User voluntarily assumes all risks associated with ordering, receiving, handling, and consuming food products ordered through the Platform.
CANCELLATION, REFUNDS & CHARGEBACKS
All policies related to the cancellation, refund and chargeback on the platform shall be governed by the privacy policy of the platforms.
LIMITATION OF LIABILITY
To the maximum extent permissible under applicable law, the Company, its affiliates, directors, officers, shareholders, employees, agents, contractors, licensors, technology partners, and service providers shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, punitive, or economic damages arising out of or in connection with food preparation or consumption, food poisoning, allergic reactions, contamination, incorrect ingredients, expired products, delivery delays, delivery failures, packaging defects, acts or omissions of Merchants or delivery personnel, inaccuracies in listings, payment failures, data loss, unauthorized access, interruption of services, or any dispute between Users and Merchants. This limitation applies whether the claim arises under contract, tort, negligence, strict liability, statute, indemnity, or otherwise. Notwithstanding anything contained herein, the total aggregate liability of the Company arising out of or relating to any claim shall not exceed the amount actually paid by the User for the relevant order giving rise to the claim.
NO WARRANTIES
The Platform and Services are provided on an “AS IS” and “AS AVAILABLE” basis. The Company expressly disclaims all warranties and representations, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, uninterrupted access, data accuracy, non-infringement, reliability, availability, food quality, or compatibility. The Company does not warrant that the Platform will be error-free or secure, that defects will be corrected, that servers are free from viruses or harmful components, or that orders will always be fulfilled.
RELEASE OF CLAIMS
The User irrevocably releases and forever discharges the Company from any and all claims, demands, liabilities, actions, proceedings, damages, losses, costs, and expenses arising out of or connected with food quality, Merchant conduct, delivery partner conduct, food consumption, injuries, illnesses, death, or property damage.
DELIVERY PARTNERS & GIG WORKER DISCLAIMER
The User acknowledges and agrees that delivery services may be provided by independent third-party contractors, logistics partners, or gig workers. Such Delivery Partners are not employees, agents, representatives, or workers of the Company and are engaged on a principal-to-principal basis. Delivery Partners control their own working hours and methods of delivery and are solely responsible for compliance with applicable laws. The Company does not supervise or control the conduct, behavior, routes, or operations of Delivery Partners during deliveries. The Company shall not be liable for misconduct, negligence, assault, theft, rude behavior, accidents, criminal acts, delays, personal injury, or property damage caused by Delivery Partners. Any dispute between the User and a Delivery Partner shall be resolved directly between such parties.
FORCE MAJEURE
The Company shall not be liable for failure or delay caused by events beyond its reasonable control including natural disasters, floods, pandemics, strikes, riots, government restrictions, internet failures, cyberattacks, or acts of God.
GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of India.
SEVERABILITY
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
MODIFICATIONS
The Company reserves the right to amend or modify these Terms at any time without prior notice. Continued use of the Platform after modifications constitutes acceptance of the revised Terms.
